These Terms of Service ("Terms") govern your use of the Drafting Helpers website at draftinghelpers.com (the "Site") and any staffing services provided by Drafting Helpers ("we," "us," or "our"), located in Sherman Oaks, California. By using our Site or engaging our services, you agree to these Terms.

1. Services Overview

Drafting Helpers provides remote architectural staffing services, connecting US architecture firms with pre-vetted drafting professionals located in the Philippines and Latin America. We recruit, vet, place, and manage remote team members on behalf of our clients.

2. Client Responsibilities

As a client, you agree to:

• Provide accurate information about your staffing needs, firm, and projects.
• Direct the day-to-day work of placed team members in a professional manner.
• Pay all agreed-upon fees in a timely manner per your service agreement.
• Not directly hire, solicit, or recruit our placed team members for a period of 12 months following the end of a placement without our written consent.
• Maintain appropriate confidentiality regarding placed team members' personal information.

3. Placement and Fees

Specific placement terms, monthly rates, payment schedules, and service details are outlined in individual service agreements executed between you and Drafting Helpers. The pricing displayed on our Site is for informational purposes and may vary based on role requirements, experience level, and specialization.

4. Replacement Guarantee

If a placed team member does not meet reasonable performance expectations after an appropriate onboarding period, we will provide a replacement at no additional cost. The replacement guarantee is subject to the terms outlined in your individual service agreement.

5. No Long-Term Contracts

Our standard engagements do not require long-term contracts. Either party may terminate a placement with the notice period specified in the service agreement (typically 30 days). Fees are prorated for partial months upon termination.

6. Intellectual Property

All work product created by our placed team members in the course of their engagement with your firm belongs to you. Our team members sign IP assignment agreements and NDAs prior to placement. Drafting Helpers does not claim any ownership of work produced for our clients.

7. Confidentiality

We take confidentiality seriously. All placed team members sign comprehensive NDAs. We implement reasonable security measures and can work within your firm's existing information security requirements. We will not share your proprietary information with third parties except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Drafting Helpers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to the use of our Site or services.

Our total liability for any claim shall not exceed the total fees paid by you to Drafting Helpers during the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Drafting Helpers, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Website Use

You may use our Site for lawful purposes only. You agree not to:

• Use the Site in any way that could damage, disable, or impair it.
• Attempt to gain unauthorized access to any part of the Site.
• Use automated systems or software to extract data from the Site.
• Submit false or misleading information through our contact form.

11. Disclaimer

Our Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Los Angeles County, California.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our Site or services after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
